TERMS OF SERVICE

  1. THE APPLICATION

 

  1. This page, together with the other documents referred to on it, tells you the terms and conditions (the “Terms”) on which you may make use of our application: NURSELOOP App (the “Application” or “App”) whether as a guest or a regular user. Please read these Terms carefully before engaging the services on the App. By using the Application, you indicate that you accept these Terms and that you agree to abide by them.

  2. NURSELOOP App, is operated by NURSELOOP Inc. (“We” or “Company”), a registered Company with official address at 30 N Gould St. Ste R Sheridan, WY 82801, a company registered in Delaware.

  3. We can be reached via e-mail at info@nurseloop.life.

  4. We reserve the right to change these Terms at any time by posting changes online. You are responsible for regularly reviewing information posted online to obtain timely notice of such changes. Your continued use of the Application after changes are posted constitutes your acceptance of the amended Terms.

  5. In order for you to use the App, you must be a least 18 years of age or the age of majority in the jurisdiction where you reside, possess the required licenses and requirements to practice your profession in the relevant jurisdiction, as well as a bank account that will receive payments for your services.

  6. You are responsible for all access to the Application through your Internet connection and for bringing these Terms to the attention of all such persons.

  7. You shall not in any way use the App or submit to us or to the App or to any user of the App anything which in any respect:

    1. is inaccurate or out-of-date;

    2. may be obscene, indecent, pornographic, vulgar, profane, racist, sexist, discriminatory, offensive, derogatory, harmful, harassing, threatening, embarrassing, malicious, abusive, hateful, menacing, defamatory, untrue or political;

    3. impersonates any other person or body or misrepresents a relationship with any person or body;

    4. may infringe or breach the copyright or any intellectual property rights (including without limitation copyright, trademark rights and broadcasting rights) or privacy or other rights of us or any third party;

    5. may be contrary to our interests;

    6. is contrary to any specific rule or requirement that we stipulate on the Application in relation to a particular part of the Application or the App generally; or

    7. involves your use, delivery or transmission of any viruses, unsolicited emails, trojan horses, trap doors, back doors, easter eggs, worms, time bombs, cancelbots or computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information.

    8. is fraudulent, criminal or unlawful;

    9. is in breach of any law, statute, regulation or by-law of any applicable jurisdiction;

  8. Comments and reviews and other materials posted on the App are not intended to amount to advice on which reliance should solely be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any user of the Application, or by anyone who may be informed of any of its contents.

  9. You agree to comply at all times with any instructions for use of the Application which we make from time to time.​​​​​

 

2. REGISTRATION FOR THE SERVICE

 

  1. If you would like to avail of the services of the App, you will need to have an account with or register for an account (an “Account”) on the App. To register, you will need to supply the App with your name, address, contact details, documents such as Physical Exams, Drug Test, TB Test, Updated HCP License, State Issued ID, and other required test by the facility such as Covid test and possibly some other personal information, which information may be shared with third parties once you make use of the App. See our Privacy Policy for more details about this.

  2. Once you register with the App, you will be asked to create a username for, and allocate a password. The same username and password will be used to access, your Account. You must keep the password confidential and immediately notify the App of any unauthorized third party becomes aware of that password or if there is any unauthorized use of your email address or your Account or any breach of security known to you. You agree that any person to whom your user name or password is disclosed is authorized to act as your agent for the purposes of using (and/or transacting via) your Account and to access and transact on the App. Please note that you are entirely responsible if you do not maintain the confidentiality of your password.

  3. You must be registered with the App with a valid personal email address that you access regularly, so that, among other things, emails can be sent to you. Any Accounts which have been registered with someone else's email address or with temporary email addresses may reported to the App and may be closed without notice. We may require you to validate Accounts or if we believe you have been using an invalid email address.

  4. Whenever you log on to or access the App, you have the option to sign up to receive, and to opt out of receiving, information emails (such as newsletters, information on offers, etc.). You are able to unsubscribe from such information emails at any time by Accessing the App using your Account.

  5. You may access information regarding previous services performed and payment received by logging in to your Account and accessing the App.

  6. Any change of vital information, such as medical test results, license information, and other such information shall require verification from our end prior to being changed or modified. 

3. SERVICES AND PAYMENT

 

  1. We process information about you in accordance with our Privacy Policy. By using the Application, you consent to such processing and you warrant that all data provided by you is accurate.

  2. You will be able to access job order postings from the App’s partner establishments. Performing these services shall entitle you to payment at the stated rate from the partner establishment.

  3. The App uses a rating system where you and partner establishments shall be rated by other users, to help both you and other users enter into arrangements that are amenable to all those concerned. Due to this system, some of your data shall be made available to users of the App. The details of the rating system are detailed in our Privacy Policy.

  4. Once you have rendered the services required by the job order posted, you are entitled to the payment for your services. The App have engaged third party service providers to allow your earnings to be immediately sent the bank account that you have nominated upon registration with the App. Unless otherwise stipulated on the App, all charges are stated in US Dollars.

  5. You shall receive the payment after completing the services in the job order posting that you have selected.

  6. You are asked for details of a bank account that is accessible to you. We shall assume that the bank account you nominate is valid, existing, and is accessible to you. We shall not be responsible in verifying the ownership of the bank account you nominate. Any changes to the nominated account shall be subject to verification.

  7. You undertake that all details you provide to us for the purpose of using the App are true and correct. We reserve the right to obtain validation of your details during your use of the App.

  8. The job order shall be deemed accepted once you have made a selection, and that the partner establishment has accepted your selection. Once you and the partner establishment has signified acceptance, no cancellation shall be made. Any cancellation done can reflect on the rating system for users maintained by the App.

  10. We try to ensure that the rate of the services posted in job orders on the application is accurate, however we do not warrant that the rates are always correct. The final say for the rates belong to our partner establishments, and we do not control their communication processes fully. If there is an error in the rate of the job order you have selected, we may, at our discretion, decide to cancel your selection. If this happens, we will notify you via e-mail at the soonest possible instance.

 

4. LIMITATION OF LIABILITY

 

  1. We shall not have any liability (whether in contract, tort, negligence, misrepresentation, restitution or under any legal head of liability) in relation to your use or inability to use or delay in use of the Application or any material in it or accessible from it or from any action or decision taken as a result of using the Application or any such material for any: (a) indirect or consequential losses, damages, costs or expenses; (b) loss of actual or anticipated profits; (c) loss of contracts; (d) loss of use of money; (e) loss of anticipated savings; (f) loss of revenue; (g) loss of goodwill; (h) loss of reputation; (i) loss of business; (j) loss of operation time; (k) loss of opportunity; or (l) loss of, damage to or corruption of, data; whether or not such losses were reasonably foreseeable or we had been advised of the possibility of you incurring such losses. For the avoidance of doubt, (b) to (l) apply whether such losses are direct, indirect, consequential or otherwise.

 

 

5. FORCE MAJEURE

 

  1. We shall not be liable to you for any breach, hindrance or delay in the performance of a Contract attributable to any cause beyond our reasonable control, including without limitation any natural disaster and unavoidable incident, actions of third parties (including without limitation hackers, suppliers, governments, quasi-governmental, supra-national or local authorities), insurrection, riot, civil commotion, war, hostilities, warlike operations, national emergencies, quarantine restrictions or lock downs, epidemics or pandemic declared by the World Health Organization, terrorism, piracy, arrests, restraints or detainments of any competent authority, strikes or combinations or lock-out of workmen, epidemic, fire, explosion, storm, flood, drought, weather conditions, earthquake, natural disaster, accident, mechanical breakdown, third party software, failure or problems with public utility supplies (including electrical, telecoms or Internet failure), shortage of or inability to obtain supplies, materials, equipment or transportation ("Event of Force Majeure"), regardless of whether the circumstances in question could have been foreseen.

 

 

6. GENERAL

 

  1. Contracts for the supply of services formed through the Application or as a result of visits made by you are governed by these Terms.

  2. No failure or delay by us in exercising any right under these Terms shall operate as a waiver of such right or extend to or affect any other or subsequent event or impair any rights or remedies in respect of it or in any way modify or diminish our rights under these Terms.

  3. If any clause in these Terms shall become or shall be declared by any court of competent jurisdiction to be invalid or unenforceable, such invalidity or unenforceability shall in no way affect any other clause or part of any clause, all of which shall remain in full force and effect, so long as these Terms shall be capable of continuing in effect without the unenforceable term.

  4. Nothing in these Terms shall create or be deemed to create a partnership, an agency or a relationship of employer and employee between you and us.

  5. No person who is not a party to these Terms shall acquire any rights under it or be entitled to benefit from any of its terms even if that person has relied on any such term or has indicated to any party to these Terms its assent to any such term.

  6. We reserve the right to amend these Terms at any time. All amendments to these Terms will be posted online. However, continued use of the Site will be deemed to constitute acceptance of the new Terms.

 

 

7. AVAILABILITY OF THE APPLICATION, SECURITY AND ACCURACY

 

  1. While we endeavor to make the Application available 24 hours a day, we cannot be liable if, for any reason, the App is unavailable for any time or for any period. We make no warranty that your access to the Application will be uninterrupted, timely or error-free. Due to the nature of the Internet, this cannot be guaranteed. In addition, we may occasionally need to carry out repairs, maintenance or introduce new facilities and functions.

  2. Access to the Application may be suspended or withdrawn to or from you personally or all users temporarily or permanently at any time and without notice. We may also impose restrictions on the length and manner of usage of any part of the Application for any reason. If we impose restrictions on you personally, you must not attempt to use the Application under any other name or user.

  3. We do not warrant that the Application will be compatible with all hardware and software which you may use. We shall not be liable for damage to, or viruses or other code that may affect, any computer equipment, software, data or other property as a result of your access to or use of the Application or your obtaining any material from, or as a result of using, the App. We shall also not be liable for the actions of third parties.

  4. We may change or update the Application and anything described in it without notice to you.

  5. While we endeavor to ensure that information and materials on the Application are correct, no warranty or representation, express or implied, is given that they are complete, accurate, up-to-date, fit for a particular purpose and, to the extent permitted by law, we do not accept any liability for any errors or omissions. This shall not affect any obligation which we may have under any contract that we may have with you to provide you with services, including any obligation that we may have under that contract to provide you with accurate information and advice, and which we may do through a secure part of the Application available to people who use the appropriate password.

  6. The material contained on the Application is provided for information purposes only and it shall not give rise to any commitment or obligation by us. Any information on the App shall not constitute any part of an offer or contract.

 

 

8. THIRD PARTY WEBSITES

 

  1. We have no control over and accept no responsibility for the content of any site to which a link from the Application exists (unless we are the provider of those linked sites). Such linked sites are provided “as is” for your convenience only with no warranty, express or implied, for the information provided within them. We do not provide any endorsement or recommendation of any third party site to which the Application provides a link.

  2. You must not, without our permission, frame any part of the Application onto your own or another person’s website.

 

 

ACCEPTANCE OF TERMS

  1. Every time you access the NURSELOOP App platform, you are agreeing to follow the NURSELOOP App Terms and Conditions, including any and all amendments that may be effected from time to time with or without prior notice. We may update the Policy at any time.

  2. By continuing to use the NURSELOOP App platform, you consent to the processing of your provided information, solely for the use of NURSELOOP INC. If you do not consent, you should not use the App.

  3. For payments done through our Online Payment Platform, by clicking on the “Accept” button, you agree to the terms of this agreement which will bind you. If you do not agree to these terms and conditions, you must cease to use our Online Payment Platform.

 

 

PAYMENTS

  1. All payments and charges are computed in US Dollars (USD). Any fees charged by your bank in connection with your receipt of payment are for your own account and NURSELOOP Inc. shall not be responsible for these.

  2. You shall be responsible for all costs you incur in connection with your access onto our Online Banking Platform.

PRIVACY POLICY

This privacy policy sets out how our application, NURSELOOP App (the “Application” or “App”) uses and protects any information that you give while using this App. We are committed to ensuring that your privacy is protected. Should we ask you to provide certain information by which you can be identified when using this App, then you can be assured that it will only be used in accordance with this privacy statement. This policy may be changed from time to time by updating the App. Thus, you should check the App from time to time to ensure that you are happy with any changes.

 

Consent

 

By using the App, you consent to the use of your Personal Information as described in this Privacy Policy. You may withdraw your consent to our processing of your Personal Information at any time. However, withdrawing consent may result in your inability to continue using some or all of the Services of the App.

When you enter into a service agreement using our Application

 

When using the App, we will have access to or ask for your name, address, contact telephone number, email address, certain medical records and clearances, and information on your professional qualifications, such as licenses, certificates, and the like. We also record your IP (Internet Protocol) address, which is the address of your computer on the Internet. For purposes of payment, we will ask for your banking details where you wish to receive payments from the services that you render.

 

We will use your information to verify your qualifications to provide services to the establishment partners (the “Partners”) of NURSELOOP, Inc.

 

The Company implements a ranking system for purposes of assisting its users in selecting its preferred partners. Certain information, like your name, services rendered, partners served, and performance ratings shall also be recorded by the App for purposes of this ranking system.

 

We require this information in order to ensure your qualifications to render services to our partners as well as your physical fitness to do so, which we are required to do by law.

 

Your information is stored natively in the App[JV1]  and on our cloud server, both of which utilize the services of Google Firebase, including the use of their servers which are located in various territories.

 

We do not use the information you provide to make any automated decisions that might affect you.

 

We keep your information for as long as you are actively using the application. Should you be inactive for

a period of 60 days, we reserve the right to deactivate your account only to be re-activated upon request.

 

When you submit an enquiry via our Application

 

When you submit an enquiry via the App, we will have access to or may ask you for your name, demographic information, contact telephone number, email address, and other information relevant to improving our services.

 

We use this information to respond to your query, including providing you with any requested information about our services. We may also email you several times after your enquiry in order to follow up on your interest and ensure that we have answered it to your satisfaction. We will do this based on our legitimate interest in providing accurate information prior to any transaction.

 

Your enquiry is stored and processed as an email which is hosted in Google Firebase.

 

We do not use the information you provide to make any automated decisions that might affect you.

 

 

Usage and Analytics Information

 

The primary use of information collected from you is to determine your qualification to provide the services required by our partners. These will only be disclosed to partners who will consider engaging your services. The medical records and clearances you submit shall be used for the same reason.

 

The banking information that we will ask from you shall solely be used to facilitate the payments made by our partners for your services.

 

Particular information, such as your name, the services that you have rendered to our partners, your performance evaluation for the said services, and the like shall be made available to other users of the app as part of the app’s rating system which helps users determine whose services to obtain.

 

We use this information solely to administer and improve our Services to you. We may also use your Usage and Analytics Information in a de-identified, anonymous way in conjunction with an analytics service such as Google Analytics to monitor and analyze use of the Application, for the App’s technical administration, to increase the App’s functionality and user-friendliness, and to verify users have the authorization needed for the App to process their requests.

 

If we plan to use your Personal Information in the future for any other purposes not identified above, we will only do so after informing you by updating this Privacy Policy. See further the section of this Privacy Policy entitled “Amendment of this Privacy Policy”.

 

Account Deletion

 

Your data and privacy are important to us. To request for the deletion of all your personal information from our platform, kindly send an email to info@nurseloop.life or call 1833-NRSLOOP.

Disclosures & Transfers

 

We have put in place contractual and other organizational safeguards with our agents to ensure a proper level of protection of your Personal Information (see further “Security” below). In addition to those measures, we will not disclose or transfer your Personal Information to third parties without your permission, except as specified in this Privacy Policy.

 

Our service providers

 

From time to time we may need to employ third parties to help us provide the Services. These third parties may have limited access to databases of user information or registered member information solely for the purpose of helping us to provide the Services and they will be subject to contractual restrictions prohibiting them from using the information about our members for any other purpose. Such agents or third parties do not have any rights to use Personal Information beyond what is absolutely necessary to assist us in providing the Services. We shall endeavor to inform you of who those third parties are as we update this Privacy Policy.

 

Law and Order

 

We may disclose your information to third parties if we determine that such disclosure is reasonably necessary to (a) comply with the law; (b) protect any person from death or serious bodily injury; (c) prevent fraud or abuse of us or our users; or (d) protect our property rights.

 

Security

 

The security of your Personal Information is important to us. We use commercially reasonable efforts to store and maintain your Personal Information in a secure environment. We take technical, contractual, administrative, and physical security steps designed to protect Personal Information that you provide to us. We have implemented procedures designed to limit the dissemination of your Personal Information to only such designated staff as are reasonably necessary to carry out the stated purposes we have communicated to you.

 

You are also responsible for helping to protect the security of your Personal Information. For instance, never give out your password, and safeguard your user name, password and personal credentials when you are using the Services, so that other people will not have access to your Personal Information. Furthermore, you are responsible for maintaining the security of any personal computing device on which you utilize the Services.

 

Sharing Information with Third Parties

 

You may be able to share Personal Information with third parties through the use of the Application. The privacy policies of these third parties are not under our control and may differ from ours. The use of any information that you may provide to any third parties will be governed by the privacy policy of such third party or by your independent agreement with such third party, as the case may be. If you have any doubts about the privacy of the information you are providing to a third party, we recommend that you contact that third party directly for more information or to review its privacy policy.

 

Retention

 

We will keep your Personal Information for as long as it remains necessary for the identified purpose or as required by law, which may extend beyond the termination of our relationship with you. We may retain certain data as necessary to prevent fraud or future abuse, or for legitimate business purposes, such as analysis of aggregated, non-personally-identifiable data, account recovery, or if required by law. All retained Personal Information will remain subject to the terms of this Privacy Policy. Please note that if you request that your Personal Information be removed from our databases, it may not be possible to completely delete all of your Personal Information due to technological and legal constraints.

 

Updates to this privacy policy

 

We regularly review and, if appropriate, update this privacy policy from time to time, and as our services and use of personal data evolves. If we want to make use of your personal data in a way that we haven’t previously identified, we will contact you to provide information about this and, if necessary, to ask for your consent.

 

We will update the version number and date of this document each time it is changed.
